Terms of Service
Please read these terms carefully before using our Service.
Effective Date: 2026-04-20
Last Updated: 2026-10-01
1. Agreement to terms
By accessing or using the Tnuki service ("Service") operated by LoopyTool, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
2. Description of Service
Tnuki is a conversational sales intelligence platform that uses artificial intelligence to help you research and track accounts and prospects, and receive recurring Plays.
3. Account registration
3.1 Account creation
You may use our Service anonymously or sign in with an email address using a passwordless "magic link" delivered to your inbox. If you provide an email, you represent that:
- The information you provide is accurate.
- You have the right to use that email address.
- You will maintain the security of your email account and any magic links sent to it.
- You will take precautions before forwarding any email that contains a magic link or brief activation link.
3.2 Account responsibilities
You are responsible for:
- All activities that occur under your account.
- Maintaining the confidentiality of your access.
- Notifying us immediately of any unauthorized use.
Each paid seat is for one named person. Sign in with your own work email address — not a shared or group mailbox — and don't share sign-in links or let anyone else use your seat. You may move a seat to a new person when someone leaves or changes role.
4. Acceptable use
4.1 Permitted use
You may use our Service only for lawful purposes and in accordance with these Terms. You agree to:
- Provide accurate data and instructions.
- Comply with all applicable laws and regulations.
- Respect intellectual property rights.
- Use the Service in good faith.
4.2 Prohibited use
You may not:
- Use the Service for any illegal or unauthorized purpose.
- Process data you don't have the right to process.
- Attempt to reverse engineer, decompile, or hack the Service.
- Use the Service to harass, abuse, or harm others.
- Harvest or collect data about other users.
- Scrape, crawl, spider, or use any automated means (including scripts, bots, browser automation, or AI agents) to access, extract, or collect data or content from the Service, except through interfaces we expressly provide for that purpose.
- Systematically retrieve, copy, download, screenshot, or otherwise capture Service Content (as defined in Section 7.2) — whether by automated or manual means, including paginating through results or capturing screenshots at scale — to create or compile, directly or indirectly, any collection, database, dataset, or similar aggregation.
- Reproduce, republish, redistribute, sell, license, or otherwise make Service Content available to any third party. Sections 4.3 and 5.2 cover what you may do with Service outputs you own.
- Use Service Content to train, fine-tune, benchmark, or evaluate any machine learning or artificial intelligence model.
- Circumvent, disable, or interfere with rate limits, access controls, or other technical measures protecting the Service or Service Content.
- Overload or interfere with the Service's infrastructure.
- Use the Service to create competing products.
- Resell, share or provide access to the Service, except as allowed in Section 4.3.
- Upload malicious code or viruses.
- Violate any applicable laws or regulations.
- Process any content (including audio, images, or text) for which you lack necessary rights or permissions.
- Generate content that violates applicable law, infringes third-party rights, or depicts real individuals without appropriate consent.
- Access third-party services or accounts without authorization from the account holder.
- Store sensitive personal data (such as passwords, financial account numbers, or government identifiers) in persistent Service features.
4.3 Use for your own business
You may use the Service only to find, research and engage prospects and accounts for your own business, and not for the benefit of any other company. Your own business is the company that holds the subscription (or, without a subscription, the company you work for), including products it distributes or represents.
Without our written agreement, you may not:
- Provide prospecting, lead generation, account research, list building or outreach to another company as a service — for example as a sales or marketing agency, outsourced sales team, consultant, or list or data vendor.
- Sell, rent, license or give Service outputs or Service Content to another company for its sales or marketing, or as a list, database or other data product.
- Sell, rent, sublicense or share access to the Service or to any account, or use the Service for timesharing or as a service bureau.
Contractors and agencies. Your employees, and consultants, contractors or agencies working on your business, may use seats on your subscription. You're responsible for what they do, and they may not use those seats for anyone else. An agency that wants to use Tnuki for a client should have the client subscribe and add the agency's people as users on the client's account. You may, however, share outputs in confidence with your advisors, and with partners such as distributors to help them sell your products.
Professional use only. Use contact and enriched data only to start or manage business relationships with people in their professional roles — not for consumer marketing, or for decisions about anyone's credit, insurance, housing or employment.

5. Data processing and ownership
5.1 Your data
- You retain all rights to the data you upload.
- You grant us a license to process your data to provide, support and improve the Service, which includes our staff reviewing it. We don't use your data to train AI models.
- You represent that you have the right to upload and process all submitted data.
- You are responsible for the accuracy and legality of your data.
- When you ask us to delete your content, or to close your account, we delete it within 30 days, except where the law requires us to keep it. Copies in our backups are deleted as the backups expire, within 12 months.
5.2 Service outputs
- Enriched data and results combine your inputs with publicly available information and data licensed from our providers.
- You own the enriched outputs generated for your data, subject to Section 4.3.
- We retain the right to use anonymized patterns and insights to improve our Service.
5.3 Third-party data
If you process data about third parties:
- You must have the legal right to do so.
- You are the data controller.
- We act as your data processor.
- You indemnify us against any claims related to such data.
Business customers may enter into a Data Processing Agreement (DPA) with us. Where a DPA is in place, it governs our processing of personal data you submit and prevails over these Terms and our Privacy Policy with respect to that data.
5.4 AI-generated content
- Content generated through our Service is created using third-party AI models.
- You may use content generated from your prompts in accordance with applicable law and our AI providers' terms of service.
- We do not claim ownership of AI-generated content created for you.
- You are responsible for ensuring your use of generated content does not infringe third-party rights or violate applicable law.
- Don't use AI features in a way that breaks the usage policies of the AI providers listed in our Privacy Policy.
5.5 Voice data
- Audio submitted for transcription is processed through third-party AI services.
- We do not permanently store audio files after transcription.
- You must have rights to any audio you submit for processing.
5.6 Third-party service connections
- You may connect third-party accounts (such as Gmail) to enhance Service functionality.
- Such connections are governed by both our Terms and the third party's terms.
- You may disconnect third-party services at any time.
- We access only the data necessary to provide the requested functionality.
5.7 Persistent memories
- You may save preferences and information ("memories") that persist across sessions.
- You can view and delete your saved memories at any time.
- Do not store sensitive personal information in memories.
5.8 Outbound email logging
- When drafting emails through our Service, we may include our logging address as a BCC recipient so that a copy is returned to us.
- You can remove the BCC address before sending any individual email, or forward past sent emails to our logging address to add them to your history.
- Logged emails are processed using AI to extract metadata and short summaries, and are used to inform your Plays and conversation context.
- You are responsible for ensuring you have the legal right to copy and retain correspondence with third parties under applicable laws, including any two-party consent or recording requirements in your jurisdiction. If you are unsure, DO NOT use the BCC logging address.
6. Pricing and payment
6.1 Free access
- We offer certain features free of charge, subject to usage limits and quotas that we may update at any time.
- Free features may change without notice.
- Access to free features may be revoked at our discretion.
6.2 Self-serve plans
These terms apply to plans you buy on our website. The plan and its price are shown before you pay.
- Automatic renewal. Plans are billed monthly in advance, in US dollars, and renew automatically each month until you cancel. You authorize us, through our payment processor Stripe, to charge your payment method for your plan and any plan changes you make, plus applicable taxes.
- Canceling. You can cancel at any time in Plan & billing. Cancellation takes effect at the end of the month you've paid for: you keep the plan until then and aren't charged again.
- Refunds. Payments are non-refundable, and we don't give refunds or credits for partial months, including when you cancel or move to a smaller plan, except where the law requires otherwise.
- Failed payments. If a payment fails, we may retry it. If it still can't be collected, your plan ends. When a plan ends for any reason, your account moves to the free plan and your chats, tables, uploaded files and memories stay in it.
- Taxes. Prices don't include taxes. We add sales tax, VAT or similar taxes where we're required to collect them.
- Price changes. We'll email you at least 30 days before a price increase applies to your plan. It takes effect at your next renewal after that notice, and you can cancel before then if you don't agree.
6.3 Plans under an order form
If you buy a plan through an order form with us, the order form's price, term, renewal and payment terms apply and take precedence over Section 6.2. Unless the order form says otherwise, invoices are due within 30 days, and fees are non-refundable except as the law requires.
6.4 Usage limits
Each plan includes usage limits, such as on AI processing and paid data lookups. We may change them over time.
6.5 Promotions and referrals
Free months, discounts, credits and referral rewards have no cash value, can't be sold or transferred, and can be withdrawn if misused. Each offer is subject to the terms we show with it.
7. Intellectual property
7.1 Our property
The Service, including its original content, features, and functionality, is owned by LoopyTool, LLC and is protected by international copyright, trademark, and other intellectual property laws.
7.2 Service Content and datasets
- "Service Content" means the data, datasets, company and contact profiles, enrichments, briefs, rankings, curated collections (including our life sciences and other industry datasets), text, graphics, and other materials made available through the Service — excluding Your Data (Section 5.1) and the Service outputs you own (Section 5.2).
- Service Content is owned by LoopyTool, LLC and its licensors and is protected by copyright (including compilation copyright in the selection, coordination, and arrangement of our datasets), database rights where applicable, and trade secret law. Our curated datasets reflect substantial investment in the selection, verification, enrichment, and arrangement of their contents.
- We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Service Content within the Service for your own internal business purposes only, and not for the benefit of any third party except as allowed in Section 4.3.
- This license does not permit bulk extraction, reproduction, or redistribution of Service Content, does not permit use of Service Content to build or improve a competing product, dataset, or model, and does not transfer any ownership interest. Except for this limited license, we reserve all rights in Service Content.
- Your license to Service Content ends when your access to the Service ends. The restrictions in Sections 4.2 and 4.3 relating to Service Content and Service outputs survive termination.
7.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.
8. Privacy
Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data practices.
9. Disclaimers and limitations
9.1 Service "as is"
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
9.2 AI-generated content
- The Service uses AI to generate enriched data, images, and transcriptions.
- We do not guarantee the accuracy, completeness, or reliability of any AI outputs.
- AI-generated images may not accurately represent real people, places, or things.
- Voice transcriptions may contain errors, especially with accents or technical terminology.
- You must verify all AI-generated content before use.
- We are not responsible for decisions based on Service outputs.
9.3 Third-party services
We are not responsible for third-party services, websites, or content accessed through our Service.
10. Limitation of liability
To the maximum extent permitted by law:
- Our total liability for all claims related to the Service or these Terms shall not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the liability and (b) $100.
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages.
- We shall not be liable for loss of profits, data, use, or goodwill.
- These limitations apply regardless of the theory of liability.
11. Indemnification
You agree to defend, indemnify, and hold harmless LoopyTool, LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any rights of another.
- Your data or content.
- Your processing of third-party data.
12. Termination
12.1 Termination by you
You may stop using our Service at any time. To end a self-serve plan, cancel it in Plan & billing (Section 6.2); to close your account, email support@tnuki.com. Closing your account also cancels any self-serve plan. Stopping use doesn't end amounts owed under an order form (Section 6.3).
12.2 Termination by us
We may terminate or suspend your access immediately, without prior notice, for:
- Breach of these Terms.
- Illegal or harmful activities.
- Non-payment (for paid services).
- Any other reason at our sole discretion.
12.3 Effect of termination
Upon termination:
- Your right to use the Service ceases.
- We may delete your data per our Privacy Policy.
- All provisions that by their nature should survive termination shall remain in effect — including the Service Content and Service output restrictions in Sections 4.2, 4.3 and 7.2, ownership provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
13. Dispute resolution
13.1 Informal resolution
We prefer to address concerns without formal legal proceedings. Before filing a claim, please contact us at support@tnuki.com to attempt resolution.
13.2 Arbitration
Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law. The arbitration shall be conducted in California, USA. Either party may instead bring a claim in small claims court if it qualifies.
13.3 Class action waiver
You waive any right to bring claims as a plaintiff or class member in any purported class or representative proceeding.
13.4 Injunctive relief
You acknowledge that a breach of Section 4.2, 4.3 or 7.2 — including scraping, bulk extraction, or unauthorized reproduction or distribution of Service Content — may cause us irreparable harm for which monetary damages would be an inadequate remedy. Notwithstanding Section 13.2, we may seek injunctive or other equitable relief in any court of competent jurisdiction, without posting a bond, in addition to all other remedies available at law or in equity.
14. General provisions
14.1 Governing law
These Terms are governed by the laws of California, USA, without regard to conflict of law provisions.
14.2 Entire agreement
These Terms, our Privacy Policy, and any order form or Data Processing Agreement you sign with us are the entire agreement between you and LoopyTool, LLC regarding the Service.
14.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.
14.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
14.5 Force majeure
We shall not be liable for any failure to perform due to causes beyond our reasonable control.
